Terms of Service

Last updated September 30, 2026 · Vertex Core LLC, operator of VotexArch

1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement made between you and Vertex Core LLC ("we," "us," or "our"), operator of VotexArch. By registering for an account, accessing our web interface, or using any part of our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

2. Accounts and Subscriptions

  • Eligibility: You must be at least 18 years old and capable of forming a binding contract to use the platform.
  • Billing & Renewals: Subscriptions are billed monthly, in advance. Your subscription renews automatically every month at the price shown when you subscribed, plus any applicable tax, until you cancel. Before you subscribe we show these renewal terms next to the payment form and ask you to confirm them, and after you subscribe we email you a confirmation of them and of how to cancel. Prices are listed in US dollars; our payment processor, Stripe, may show and charge you the equivalent amount in your local currency at the exchange rate it applies, and your bank may add its own fees. We will give you notice before any price change applies to your subscription, as described under Price and Plan Changes.
  • Cancellations & Refunds: You may cancel your subscription at any time from Manage billing in your VotexArch dashboard, or by emailing support@votexarch.com. Cancelling stops future renewals; you keep your plan until the end of the billing period you have already paid for, and partial refunds for that period are generally not provided.

3. Credits Policy

Generations, conversions, and other compute-heavy actions are billed in credits rather than charged individually. This section explains how credits work.

  • Usage units: Credits are a prepaid usage unit, not currency or a stored-value account balance, and have no cash value.
  • Rollover: Your monthly plan credits are for that billing cycle: any you have not used are not carried over when the plan renews, and each cycle starts with that plan’s full allowance again. Credits bought separately as a top-up are different — they stay in your account across billing cycles for as long as your subscription is active. When a subscription ends, any remaining credits of either kind are forfeited.
  • Expiration: Monthly plan credits expire at the end of the billing cycle they were issued for, as described under Rollover. Top-up credits do not expire while your subscription remains active. Remaining credits of either kind may be forfeited on cancellation, as described below.
  • After cancellation: If you cancel your subscription, any remaining credits are forfeited at the end of your current billing cycle unless otherwise stated at the time of cancellation.
  • One-time top-ups: Active subscribers may purchase one-time credit top-ups in addition to their monthly plan. Top-up credits are added to your balance immediately and do not renew; in all other respects they are treated like your plan credits under this policy, including the rollover, expiration, and after-cancellation terms above.
  • Free and trial credits: Visitors may be given a small allowance of trial credits without creating an account, and new accounts may receive a one-time grant of free credits. These are promotional: they have no cash value, cannot be transferred or exchanged, do not renew, and may be limited per person, device, or network. We may change or withdraw free and trial allowances at any time. Creating multiple accounts or sessions to obtain additional free credits is prohibited under our Acceptable Use Policy.
  • Referral credits: Each account has a referral link. When someone creates a new VotexArch account through your link, you and they may each receive the referral credits stated in your dashboard (currently 25 each), once. Referral credits are paid after a holding period (currently three days) and only once the new account has completed a minimum number of renders (currently three) or started a paid subscription; a referral that never meets these conditions is not paid. To qualify, the new account must be a confirmed account, not a guest session, created within seven days before the referral is claimed, and must not have used a referral before; you cannot refer yourself, and one account can earn referral credits for a limited number of referrals (currently 20). Referral credits are promotional credits: the terms above for free and trial credits apply to them. They are added to your balance as top-up credits, so they are not reset when a monthly plan renews; like top-up credits, any that remain are forfeited when a paid subscription ends. We may withhold or remove referral credits obtained through fake, duplicate, self-referred or otherwise abusive accounts, and we may change or end the referral program at any time.
  • Failed generations: If a generation fails due to an error on our platform or a third-party provider we rely on (see “Third-Party Services and Disclaimers” below), the credits charged for that attempt are automatically returned to your balance. Credits are not refunded for generations that complete successfully but do not meet your expectations, since the underlying compute cost has already been incurred.
  • Refunds: Purchased credits and subscription fees are generally non-refundable except where required by law or expressly stated at the time of purchase.

4. Intellectual Property Rights

  • Platform IP: We retain all rights, title, and interest in and to the frontend user interface, branding, source code, and underlying software framework.
  • User Content IP: You retain full ownership of any designs, prompts, inputs, or project files you create or upload to the platform. You grant us a limited license to store, process, and transmit your content solely as necessary to operate the service and execute your requests.
  • AI Output Ownership & License: As between you and VotexArch, you own the outputs generated from your prompts and uploads, subject to (a) the underlying AI model providers’ own terms, which may impose their own conditions on generated output, and (b) our right to use anonymized, aggregated generations for internal quality and platform-improvement purposes as described in our Privacy Policy. Because outputs are AI-generated, we cannot guarantee that any given output is free of third-party rights or is eligible for copyright protection in every jurisdiction.

5. File Storage, Downloads, and Sharing

  • Storage period: Uploaded and generated files are deleted from our storage automatically 7 days after they are created. VotexArch is not an archive: you are responsible for downloading and keeping copies of any output you want to retain.
  • Downloads and watermarks: Downloading outputs requires an account. Outputs made during a guest trial or on a free account carry a VotexArch watermark, which includes our logo, the words “Made with VotexArch” and our web address; guest outputs also carry a repeated watermark across the image. Outputs made on an active paid subscription do not carry a watermark.
  • Public share links: If you create a share link for a render, anyone who has the link can view that render until you remove the link. Share pages show a “Made with VotexArch” notice, and their links to VotexArch carry your referral code, so someone who creates an account from your shared render may earn you referral credits under the Credits Policy above. Share pages are not listed in search engines. You are responsible for what you choose to share and for having the rights to share it.

6. Plugins and Downloadable Software

We offer free plugins and scripts that connect third-party design software (such as Revit, Archicad, Rhino, SketchUp, Blender, and 3ds Max) to the platform. They are provided "as is", may not work with every version or configuration of the host software, and may change or be discontinued. You install and run them at your own risk, and you are responsible for complying with the licence terms of the host software. The Blender add-on is licensed under the GNU General Public License, version 3 or later; the other plugins are licensed for use with VotexArch under these Terms.

7. User Responsibility for Uploaded Content

By uploading drawings, photographs, 3D models, project files, client information, or any other content to the platform, you represent and warrant that you have all necessary rights, licenses, and permissions to upload and process that content, and that doing so does not violate any confidentiality obligation, contract, or third party’s intellectual property or privacy rights. You are solely responsible for obtaining any client, employer, or third-party consent required before uploading their materials.

8. Copyright Complaints (DMCA)

We respect intellectual property rights and respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act. If you believe content uploaded to or shared through VotexArch infringes your copyright, send a written notice to our designated copyright agent:

Copyright Agent, Vertex Core LLC, 1209 Mountain Road Place NE, Albuquerque, NM 87110, USA. Email: support@votexarch.com (subject line: "DMCA Notice").

  • What a notice must include: (1) your physical or electronic signature; (2) identification of the copyrighted work you claim is infringed; (3) identification of the material you claim is infringing, with enough information for us to locate it, such as the share link; (4) your name, address, telephone number and email address; (5) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; and (6) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.
  • What we do: On receiving a valid notice we remove or disable access to the material and notify the user who uploaded or shared it.
  • Counter-notices: If your material was removed and you believe it was removed by mistake or misidentification, you may send a counter-notice to the same agent including: your physical or electronic signature; identification of the material and where it appeared before removal; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; and your name, address and telephone number, with a statement that you consent to the jurisdiction of the federal district court for your address (or, if you are outside the United States, any judicial district in which we may be found) and will accept service of process from the person who sent the original notice. We may restore the material 10 to 14 business days after receiving a valid counter-notice unless the complainant tells us they have filed a court action.
  • Repeat infringers: We terminate, in appropriate circumstances, the accounts of users who are repeat infringers.
  • Misrepresentation: Anyone who knowingly makes a material misrepresentation in a notice or counter-notice may be liable for damages under 17 U.S.C. 512(f).

9. AI-Generated Output and Professional Responsibility Disclaimer

VotexArch is an AI visualization and design-assistance tool. It is not a substitute for professional architectural, engineering, structural, or code-compliance services.

AI-generated results may be inaccurate, incomplete, inconsistent, or unsuitable for professional or construction use. Outputs are not guaranteed to be technically accurate, structurally sound, code-compliant, construction-ready, professionally certified, or approved by any authority. You are solely responsible for having any output reviewed, verified, and, where applicable, stamped or approved by a licensed architect, engineer, or other qualified professional before relying on it for construction, permitting, or any other professional purpose.

10. Third-Party Services and Disclaimers

The platform integrates with or relies upon third-party cloud infrastructure, database providers, hosting providers, payment processors, and external AI inference and model-execution providers — including fal.ai, Google (Gemini), and Tripo3D, among other AI providers we may add from time to time — to operate and to process your requests. Some features send the content you provide (for example, a floor plan and the project location you enter for a code-compliance review) to these providers, and search-grounded features may query external search services to produce their results. We are not responsible for performance failures, errors, output quality, data handling, or outages caused by these third-party vendors. Additional detail on our compute dependencies is available in our Compute & Infrastructure Disclaimer.

11. Communications

We send service emails about your account and subscription — for example sign-up confirmations, password resets and subscription confirmations — whether or not you opt in to anything else, because they are part of providing the service. We send newsletters, tips and new-model announcements only if you tick the optional box when creating your account; every such email has an unsubscribe link, and unsubscribing takes effect immediately and does not affect service emails.

12. Price and Plan Changes

We may change our plans, pricing, features, or credit allocations from time to time. We will provide reasonable advance notice of any material change affecting an active subscription before it takes effect on your next billing cycle. Continued use of the platform after a change takes effect constitutes acceptance of the change.

13. Account Deletion and Termination

We reserve the right to suspend or terminate your access to the platform immediately, without prior notice, if you violate these Terms of Service or our Acceptable Use Policy.

When your account is deleted or terminated (whether by you or by us), your projects, uploaded files, generated outputs, and account information are scheduled for deletion from our active systems, subject to the retention periods described in our Privacy Policy for backups, fraud prevention, and legal-compliance purposes. Any unused credits are forfeited upon deletion or termination and are not refunded, except where required by law.

14. Trademarks

Revit and 3ds Max are trademarks of Autodesk, Inc. SketchUp is a trademark of Trimble Inc. Archicad is a trademark of Graphisoft SE. Rhino and Grasshopper are trademarks of Robert McNeel & Associates. Blender is a trademark of the Blender Foundation. 15. Indemnification

You agree to indemnify and hold harmless Vertex Core LLC, its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the platform, your uploaded content, your violation of these Terms or our Acceptable Use Policy, or your violation of any third party’s rights.

16. Limitation of Liability

To the maximum extent permitted by law, our platform is provided on an "AS-IS" and "AS-AVAILABLE" basis. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claims under these terms will not exceed the amount you paid us in the past twelve months.

17. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
